These terms are an agreement between Ubikon Technologies, Indore, Madhya Pradesh (“we”, “us”) and the business that signs up for ShubhOrder (“you”). By using ShubhOrder you agree to them. If you agree on behalf of a business, you confirm you are allowed to.
1. What ShubhOrder is
ShubhOrder is online software for shops, wholesalers and distributors: a catalogue your retailers and customers order from, order handling, GST invoices and credit notes, dues (khata) and collections, salesperson tools, and exports to accounting software. We provide the software; you run your business with it. We are not a party to any sale between you and your buyers.
2. Your account and your people
- You are at least 18 and allowed to act for the business you sign up.
- You give us correct business details and keep them up to date.
- You decide who on your team gets access and with which role, and you are responsible for what they do in your account. Remove people who leave.
- Keep sign-in links and codes private. Tell us at once if you think someone got into your account.
- You may let your retailers and customers use the ordering screens; you are responsible for your dealings with them.
3. Your data
- Your catalogue, prices, orders, invoices, buyer list and ledgers belong to you. You can export them at any time.
- Personal data of your buyers that you put into ShubhOrder is processed by us on your behalf and on your instructions, as described in our Data Processing Agreement (available on request) and our Privacy Policy. You are responsible for having a lawful basis to use that data and for the privacy notice your buyers see.
- We do not sell your data or use your buyers' details to market to them.
4. Taxes and documents are still your responsibility
ShubhOrder helps you prepare GST invoices, credit notes, e-invoice and e-way bill files and Tally exports, and checks common mistakes. You remain responsible for your tax rates, HSN codes, prices, the documents you issue, filing your returns, generating IRNs and e-way bills on the government portals, and meeting the laws that apply to your business. Please have your accountant review your setup.
5. Fair use
You agree not to:
- use the service for anything unlawful, fraudulent or misleading, or to sell goods you may not sell;
- upload content that infringes someone else's rights;
- try to get into other accounts or our systems, test their security without our written permission, or overload them;
- copy, resell or build a competing product from the service.
We may suspend access that puts the service, other customers or the law at risk, and will tell you why unless the law prevents it.
6. Trial, plans and payment
- A new shop gets a 14-day free trial. No card or payment details are needed for it, and it never turns into a paid plan by itself.
- Plans are prepaid for a month or a year at the prices shown on our website, plus GST where we charge it. Nothing is charged automatically unless you turn on automatic renewal: to continue, you pay again before the period ends, and we remind you before it does.
- Automatic renewal is optional and off unless you turn it on in Settings › Plan. You approve a UPI AutoPay or card mandate with our payment partner Razorpay, which then charges the same plan, at the price shown when you turned it on (plus GST), at the end of each period, and tells you before each charge. You can turn it off there any time before a charge. Paying by hand, changing plan, cancelling renewal or asking to close the account also turns it off. A charge made after it was turned off is refunded in full.
- Each plan covers a number of staff logins and retailers. If you change plan during a paid period, the unused days of the old plan are taken off the price of the new one. Discount codes apply as stated when they are given.
- Invites: when a business that signed up through your invite link buys its first paid plan and keeps it past the 7-day refund window, both accounts get 30 days added to their current plan or trial (an account without an end date gets none). It doesn't apply between businesses with the same owner or GSTIN, and at most 12 times a year per inviting account. We may change or end the invite offer for future invites.
- When a trial or paid period ends, everything keeps working for 7 more days. After that the shop is in limited mode until you choose a plan: up to 10 new orders a month, and no new staff logins or retailers above 1 and 20. Nothing is deleted, and paying restores everything at once.
- We may change prices with at least 30 days' notice; a period you have already paid for keeps its price.
- Cancellations and refunds follow our Refund and Cancellation Policy.
7. Availability and support
We work to keep ShubhOrder running and fast, back up data regularly, and fix problems quickly, but we cannot promise it will never be interrupted — for example during maintenance or because of internet, SMS or hosting providers. The ordering app keeps working on a weak connection and sends orders when the signal returns. Support is by phone, WhatsApp and email on working days.
8. Other services
Some features rely on others' services — SMS for sign-in codes, UPI apps for payments, WhatsApp for sharing links, Tally on your computer, and (if you switch it on) an AI service to read typed or photographed order lists. Their own terms apply to them, and we are not responsible for their failures.
9. Ending the service
- You can stop renewing at any time (see the Refund and Cancellation Policy). Your data stays in limited mode until you close the account.
- You can download all your data at any time from Settings, including before closing.
- To close your account, use Settings › Your data › Close account (or ask us from the owner's registered number or email). Your data is deleted 30 days later — you can cancel until then — except what the law requires us to keep (for example our own invoices to you), which we keep only as long as required.
- A free trial that was never used — no order from a real retailer and no payment — is deleted with its data 90 days after the trial ended.
- We can end the agreement with 30 days' notice, or at once if you seriously break these terms; you can still download your data for 30 days.
10. Liability
The service is provided with reasonable care and skill. To the extent the law allows, we are not liable for indirect or consequential losses such as lost profit or lost business, and our total liability for any claim is limited to the fees you paid us in the 12 months before it. Nothing here limits liability that cannot be limited by law.
You will compensate us for claims made against us because of the content you upload, your dealings with your buyers, or your breach of these terms or of the law.
11. Changes to these terms
We may update these terms. For changes that matter, we will tell you at least 30 days before they apply. Continuing to use ShubhOrder after that means you accept them.
12. Law and disputes
These terms are governed by the laws of India. We will first try to settle any dispute by talking it through. If that fails, the courts at Indore have exclusive jurisdiction.
